Service Provider Agreement

These Service Provider Terms and Conditions govern the listing of businesses and service providers on TAPZA ("the Platform").

By requesting, accepting, maintaining, or continuing a listing on TAPZA, the Service Provider agrees to be bound by these Terms and Conditions.

1. Definitions

TAPZA refers to the online directory platform operated under the TAPZA brand.

Service Provider refers to any business, sole proprietor, contractor, tradesperson, company, organisation, or professional whose details are published on TAPZA.

Consumer refers to any person using TAPZA to locate or contact a service provider.

2. Purpose of TAPZA

TAPZA is a directory and connection platform designed to help consumers find and contact local service providers.

TAPZA does not act as:

An employer
An agent
A representative
A contractor
A partner
A broker

of any listed service provider.

The relationship between TAPZA and the Service Provider is limited to directory listing and promotional visibility.

3. Eligibility for Listing

To be listed on TAPZA, a Service Provider must:

Operate legally within South Africa.
Provide accurate business information.
Maintain valid contact details.
Comply with all applicable laws and regulations.
Hold any licences, registrations, permits, certifications, or insurance required for their industry.

TAPZA reserves the right to request supporting documentation where appropriate.

4. Accuracy of Information

The Service Provider warrants that all information supplied to TAPZA is:

Accurate
Complete
Current
Not misleading

This includes:

Business names
Contact numbers
WhatsApp numbers
Website addresses
Service descriptions
Service areas
Business logos
Marketing content

The Service Provider is responsible for notifying TAPZA of any changes.

5. Listing Approval

Submission of information does not guarantee inclusion on TAPZA.

TAPZA reserves the right to:

Approve or decline listings
Edit formatting and presentation
Correct spelling and grammar
Request additional information
Remove outdated information

at its sole discretion.

6. Service Provider Conduct

Service Providers agree to:

Conduct business professionally and ethically.
Respond to enquiries honestly.
Deliver services lawfully.
Respect consumers' rights.
Avoid misleading advertising.
Avoid false claims or qualifications.
Maintain professional standards.

The Service Provider remains solely responsible for all services provided to consumers.

7. Consumer Relationships

Any agreement for services is entered into solely between the Service Provider and the Consumer.

TAPZA is not a party to any contract, quotation, invoice, payment arrangement, warranty, guarantee, or service agreement.

The Service Provider accepts full responsibility for:

Quotes
Pricing
Contracts
Service delivery
Warranties
Refunds
Workmanship
Customer service
Legal compliance

8. Complaints

TAPZA may receive complaints from consumers regarding listed Service Providers.

Where complaints are received, TAPZA reserves the right to:

Request clarification from the Service Provider.
Request supporting documentation.
Investigate the matter.
Temporarily suspend a listing.
Permanently remove a listing.

Repeated complaints may result in removal from the platform.

9. No Guarantee of Leads

TAPZA provides visibility and exposure only.

TAPZA does not guarantee:

Leads
Enquiries
Bookings
Customers
Revenue
Sales
Business growth
Search rankings
Listing visibility
Listing performance

Results will vary based on location, service category, demand, competition, and market conditions.

10. Fees and Payments

Where listing fees, subscription fees, advertising fees, or promotional fees apply:

Fees are payable in advance unless otherwise agreed.
Fees are non-refundable unless required by law.
Failure to pay may result in suspension or removal of the listing.

Any promotional pricing, launch offers, or introductory discounts may be withdrawn at TAPZA's discretion.

11. Free Listing Promotions

TAPZA may offer free listing periods, introductory promotions, launch incentives, or founding member benefits from time to time.

For the TAPZA Launch Promotion, the first fifty (50) approved Service Providers accepted onto the platform will receive a complimentary listing period ending on 30 June 2027.

The promotional period shall commence on 1 July 2026 for all qualifying Service Providers, regardless of the date on which their listing was approved, activated, or published.

No additional free months, extensions, credits, or pro-rata adjustments shall be granted based on a later registration, approval, activation, or publication date.

The free promotional period is linked to the approved business listing and is:

Non-transferable
Non-refundable
Not redeemable for cash
Limited to one promotional allocation per business

TAPZA reserves the right to verify eligibility for the promotion and to withdraw promotional benefits where inaccurate information, duplicate registrations, misuse, or abuse of the promotion is identified.

Participation in the launch promotion does not create any entitlement to future free listings, discounted pricing, or ongoing promotional benefits beyond the stated promotional period.

Future subscription fees, listing fees, advertising fees, or promotional charges may be introduced after the promotional period with reasonable notice.

12. Intellectual Property

The Service Provider grants TAPZA permission to display:

Business names
Logos
Marketing descriptions
Contact details
Service information

for the purpose of promoting the Service Provider through the TAPZA platform.

The Service Provider confirms that they have the legal right to use any material supplied.

13. Limitation of Liability

To the fullest extent permitted by law, TAPZA shall not be liable for:

Loss of business
Loss of revenue
Loss of profits
Loss of opportunities
Loss of goodwill
Customer disputes
Service complaints
Consumer claims
Website interruptions
Technical errors

The Service Provider uses the platform at their own risk.

14. Indemnity

The Service Provider agrees to indemnify and hold harmless TAPZA, its owners, administrators, contractors, and representatives from any claim, loss, damage, liability, expense, or legal action arising from:

Services provided by the Service Provider
Incorrect information supplied by the Service Provider
Consumer complaints
Regulatory violations
Breach of these Terms and Conditions

15. Suspension and Removal

TAPZA may suspend or remove any listing immediately where:

False information is supplied.
Fraudulent activity is suspected.
Consumer complaints indicate misconduct.
Laws or regulations are breached.
Fees remain unpaid.
The Service Provider damages the reputation of TAPZA.

No compensation shall be payable following suspension or removal.

16. Amendments

TAPZA may amend these Terms and Conditions from time to time.

Updated versions will be published on the TAPZA website.

Continued participation on the platform constitutes acceptance of the revised Terms.

17. Governing Law

These Terms and Conditions shall be governed by the laws of the Republic of South Africa.

Any disputes arising from these Terms shall be subject to the jurisdiction of the South African courts.
